These Terms of Service (“Terms”) govern your use of the services provided by ASAP Dental Temps (“ASAP”, “we”, “our”, or “us”), a dental staffing agency based in British Columbia, Canada. By registering as a temp or engaging our services as a dental office, you agree to be bound by these Terms.
These Terms apply to all dental professionals (“Temps”) and dental practice clients (“Offices”) who use ASAP’s staffing services.
1. Our Role as a Staffing Agency
ASAP Dental Temps acts as a staffing agency connecting qualified dental professionals with dental offices requiring temporary coverage. We facilitate shift bookings, communications, and billing on behalf of both Temps and Offices.
ASAP is not an employer of the Temps placed at Offices. Temps engaged through ASAP are independent contractors unless a separate employment arrangement is explicitly agreed to in writing. ASAP does not direct or control the day-to-day clinical activities of any Temp while on assignment.
2. Terms for Dental Professionals (Temps)
2.1 Eligibility
To register and receive shifts, you must:
- Be legally eligible to work in Canada
- Hold current, valid registration with your applicable regulatory college (where required)
- Maintain any required professional liability insurance
- Provide accurate and complete information during registration
2.2 Shift Acceptance and Cancellation
When you accept a shift, you commit to attending on time and completing the assignment. You understand that:
- Cancellations must be made as early as possible— ideally with a minimum of 48 hours’ notice, except in genuine emergencies
- Repeated last-minute cancellations or no-shows may result in removal from the ASAP roster at our sole discretion
- You are responsible for arriving on time and prepared to perform your professional duties
- You must notify ASAP immediately if you are unable to attend a confirmed shift for any reason
2.3 Professional Conduct
While on assignment, you agree to:
- Conduct yourself professionally and in compliance with all applicable standards of practice
- Follow the reasonable direction of the office regarding clinic procedures and workflows
- Treat all patients, staff, and office personnel with dignity and respect
- Maintain patient confidentiality in accordance with applicable privacy legislation
- Not use ASAP’s placement as a means to solicit direct employment with an Office
2.4 Compensation
Compensation rates are communicated at the time of each shift offer. Payment is processed following receipt and verification of billing from the Office. ASAP reserves the right to adjust rates with reasonable notice.
As an independent contractor, you are solely responsible for remitting your own income tax, GST/HST (if applicable), and any other statutory deductions or contributions.
2.5 No Guarantee of Shifts
Registration with ASAP Dental Temps does not guarantee the availability or frequency of shifts. Shift availability depends on office demand, your availability, your location, and your professional role. ASAP makes no representation or warranty regarding the volume or continuity of work.
3. Terms for Dental Offices
3.1 Requesting Temps
Offices may submit shift requests through ASAP. We will make reasonable efforts to source a qualified Temp for each request, but we do not guarantee placement for every request.
3.2 Supervision and Direction
The Office is responsible for providing appropriate clinical supervision and direction to the Temp during the assignment in accordance with applicable regulatory requirements. ASAP is not responsible for the clinical acts or omissions of any Temp while on assignment.
3.3 Billing and Payment
Invoices are issued by ASAP for each billing period. Payment is due upon receipt unless otherwise agreed in writing. Invoices include applicable GST as required by law. Offices agree to:
- Review invoices promptly upon receipt
- Raise any billing disputes within 14 days of the invoice date
- Make payment in full and on time to maintain uninterrupted service
3.4 Direct Hiring
If an Office wishes to hire a Temp introduced through ASAP on a permanent or long-term basis, the Office must notify ASAP in advance. A placement fee will apply. The applicable fee will be communicated at the time of the request.
3.5 Cancellation of Confirmed Shifts
If an Office cancels a confirmed shift with less than 24 hours’ notice, the Office may be charged a cancellation fee to compensate the Temp for the lost shift. We will communicate the applicable fee at the time of cancellation.
4. Communications
By providing a mobile phone number and email address, you consent to receive service-related communications from ASAP Dental Temps, including shift offers, confirmations, updates, and billing notices, via SMS and email.
You may opt out of SMS messages at any time by replying STOP. Opting out may affect our ability to offer you shifts or communicate time-sensitive updates.
5. Intellectual Property
All content, software, and materials on our platform are the property of ASAP Dental Temps or our licensors. You may not copy, reproduce, or distribute any part of our platform without our prior written consent.
6. Limitation of Liability
To the fullest extent permitted by law, ASAP Dental Temps is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including but not limited to: lost income, missed shifts, placement delays, or the acts or omissions of any Temp or Office.
Our total liability for any claim arising from these Terms or our services is limited to the fees paid to ASAP in the three (3) months preceding the event giving rise to the claim.
7. Termination
Either party may terminate the service relationship at any time by providing written notice to ASAP. We reserve the right to suspend or remove any Temp or Office from our platform for violations of these Terms, misconduct, or at our sole discretion.
Obligations that by their nature should survive termination — including payment obligations, confidentiality, and limitations of liability — will continue after termination.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved in the courts of British Columbia.
9. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or by a notice on our platform. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms. The effective date at the top of this page reflects the most recent revision.
